Arconti The Issue Here Is Term Paper

Bart and George were also not engaged in any fraudulent activities that were part of the reasoning behind the trial court's findings against them. Maryland's law states that the shareholders will be held responsible if they fail to observe the corporate entity or they operate the business or deal with the corporation's property as if it were their own.

I just result in this particular case would probably have consisted of holding the two individuals responsible for their actions, or lack thereof. As compared to the Rule of Law, there is no Spirit of the Law, but if there were, the result in this case may have not been overturned by the appellate court. The scenario the two gentlemen may have found themselves in could have been a court that while giving them the nod of not violating the law as it was written, certainly their actions went against what the law was attempting to keep from happening.

The managerial implications from these events are that Bart and George were attempting to circumvent the spirit of the law, and ultimately, they accomplished their objective. It may have saved...

Those parties that had dealings with Bart and George now knew for a certainty what type of character these individuals displayed. Bart and George managed to take advantage of the system, yet while doing so, lost their managerial integrity. This loss always leads to decisions of questionable nature, and attempting to manage any entity with managerial skills that are lacking will always lead to ruin, though not necessarily a ruin that is evident to all involved. The other firm will lose out financially due to the managerial decisions made by Bart and George, as will the state and cities that hired the subcontractors. The appellate court's decision to reverse the findings of the lower court, will now lead the firm to attempting to manage the fallout. The problem with any management at this late a date, is that the company has probably long ago written off any losses, and was not likely counting on receiving any compensatory funds. Therefore, the managerial implications are not quite as affective as what they could have been.
